You should replace The Developer's and the Client's full name, company name, and contact details. The legal company names matter because they will be the legally binding parties to the contract.

2. Scope of Work Reference

Attach or reference a separate Scope of Work, which will describe the deliverables, the functionality, and the technical requirements. Both parties should acknowledge and sign-off this Scope of Work along with the agreement.

3. Developer Requirements

Complete the Developer's obligations section with proposal references, presentation dates, and delivery deadlines. Document how risks, delays, or changes to the schedule must be communicated.

4. Hosting Details (If Applicable)

For in-scope hosting, define:

  • Hosting environment type
  • Uptime expectations
  • Backup storage terms
  • Maintenance turnaround times
  • Third-party access permissions

5. Design & Approval Process

What format will design mockups be submitted for review/approval? Which party will provide content? In what file types? Any limits on number? Establish access controls before launching the website.

6. Material Delivery and Backup Terms

Specify how the final website files, codebases, and documentation will be delivered, and detail any backup retention periods. Specify the destruction process to follow after the agreement concludes.

Fill in the billing terms. If you are billing hourly, set the hours to track. Outline which expenses are billable, how frequently you will invoice clients (e.g., every 30 days), and when payment is due.

8. Termination Conditions

Detail how either party may terminate the contract and how final invoices for work performed will be handled.
